FarmAssist — Terms of Service & End User License Agreement (EULA)

1. Acceptance of Terms
By creating an account, clicking "I Agree," accessing, or otherwise using FarmAssist ("the Service," "we," "us," or "our"), you ("User," "you," or "your") agree to be legally bound by this End User License Agreement ("Agreement"). This Agreement constitutes a binding contract between you and FarmAssist AI LLC, a Wyoming limited liability company. If you do not agree to these terms in their entirety, you must immediately cease using the Service and delete your account. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to this Agreement.
2. Service Description
FarmAssist is an AI-powered agricultural information assistant designed to provide:
- Crop management guidance and general agronomic information
- Pesticide label data lookup (sourced from PMRA, EPA, and other third-party regulatory databases)
- Nutrient management references
- Integrated Pest Management (IPM) informational support
- General farming practice recommendations
The Service uses large language model (LLM) artificial intelligence to generate responses based on publicly available agricultural data, government regulatory databases, and context provided by the user. The Service is an informational tool only.
AI Interaction Disclosure: You acknowledge that when using this Service, you are interacting with an artificial intelligence system, not a human expert. AI-generated responses are produced by machine learning algorithms and do not represent human judgment, professional advice, or certified expertise.
3. License Grant
Subject to your compliance with this Agreement, FarmAssist grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or internal business agricultural operations. You may not:
- Sublicense, resell, or commercially redistribute the Service or its outputs
- Use automated scripts, bots, or scrapers to extract data from the Service
- Reverse-engineer, decompile, or attempt to extract the underlying AI models or proprietary systems
- Use the Service to develop a competing product or service
- Share account credentials with unauthorized users
- Use the Service's outputs to train, fine-tune, or improve any other AI or machine learning model without our express written permission
- Remove, obscure, or alter any proprietary notices or attributions associated with Service outputs
4. Critical Disclaimers — Please Read Carefully
4.1 No Professional Agronomic Advice
The Service does not provide professional agronomic, legal, regulatory, or scientific advice. All outputs are for general informational and educational purposes only. AI-generated content does not constitute a recommendation by a certified crop advisor (CCA), licensed agronomist, licensed pesticide applicator, or agricultural extension specialist.
Before making any planting, application, nutrient management, or crop protection decision that could result in financial, regulatory, or environmental consequences, you should consult a qualified professional licensed in your jurisdiction.
4.2 Pesticide Label — Legally Binding Document Warning
THE LABEL IS THE LAW.
The physical label affixed to the pesticide product container is the sole legally binding document governing its use under applicable federal and state/provincial law (including FIFRA in the United States and PCPA in Canada). The Service may display pesticide label data aggregated from PMRA, EPA, and third-party databases. This data is provided for reference convenience only and:
- May be outdated, incomplete, or jurisdiction-specific
- May not reflect recent label amendments or registrant updates
- Does not account for local, municipal, or watershed-level use restrictions
- Does not replace your obligation to read the full physical label before any application
4.3 AI-Generated Content Limitations
Artificial intelligence systems, including the model powering this Service, can and do produce:
- Factually incorrect or outdated information ("hallucinations")
- Confidently-stated but erroneous agronomic guidance
- Responses that do not account for your specific soil, microclimate, crop variety, or regulatory jurisdiction
- Outputs that may conflict with current best practices
- Biased or incomplete recommendations based on training data limitations
- Outputs that may change over time as the underlying AI model is updated
All AI-generated content should be treated as a starting point for further research — not as authoritative, final, or jurisdiction-specific guidance.
Independent Verification Required: You must independently verify all AI-generated outputs before relying on them for any decision that carries financial, safety, environmental, or regulatory risk.
4.4 Regional & Jurisdictional Variation
Agricultural regulations, pesticide registrations, restricted-use designations, application setback requirements, and maximum residue limits vary significantly by country, state, province, county, and watershed. The Service does not guarantee that any recommendation is lawful, appropriate, or registered for use in your specific location. You bear sole responsibility for determining regulatory compliance.
4.5 No Guarantee of Accuracy, Availability, or Performance
We do not warrant that:
- AI-generated outputs will be accurate, complete, current, or error-free
- The Service will be available without interruption or downtime
- Defects will be corrected promptly or at all
- The Service is free from viruses, malware, or other harmful components
- Any particular result or outcome will be achieved through use of the Service
5. User Responsibilities
You agree to:
- Provide accurate context — including crop type, growth stage, geographic region, soil type, and farming method — to improve the relevance of responses.
- Independently verify all pesticide application rates, timing, pre-harvest intervals (PHIs), restricted entry intervals (REIs), and buffer zone requirements against the physical product label and your local regulatory authority.
- Comply with all applicable laws — including federal, state/provincial, and local regulations — governing pesticide use, nutrient management, water quality, and agricultural practices.
- Not rely solely on the Service for decisions that carry significant financial, health, safety, or environmental risk.
- Maintain account security — you are responsible for all activity conducted under your credentials.
- Not misuse the Service — including not inputting unlawful, fraudulent, or harmful content, and not attempting to circumvent the Service's safety or usage controls.
- Not input personal information about third parties, confidential business information, or proprietary agricultural data that you do not have the right to share.
- Notify us immediately if you discover any unauthorized access to your account or any security breach.
6. Prohibited Uses
You may not use the Service to:
- Generate content that violates any applicable law or regulation.
- Create or disseminate false, misleading, or fraudulent agricultural information.
- Engage in any activity that could harm, disable, or impair the Service's infrastructure.
- Attempt to gain unauthorized access to any portion of the Service or related systems.
- Use the Service for any high-risk use cases including autonomous agricultural equipment operation, pesticide application automation without human oversight, or any application where AI error could result in death, personal injury, or significant environmental harm.
- Input malicious code, prompts designed to manipulate the AI system (prompt injection), or content intended to extract sensitive information about the AI model or other users.
7. Subscriptions, Billing & Cancellation
The Service is offered through multiple subscription tiers, which may include free and paid options. The specific features, usage limits, and capabilities available to you depend on your selected plan.
Billing: Paid plans are processed through Stripe. Your subscription renews automatically at the end of each billing period unless cancelled.
Cancellation: You may cancel at any time via your account settings. Cancellation takes effect at the end of the current paid billing period; you retain access through that period.
Refunds: Except as required by applicable consumer protection law, no refunds are issued for partial billing periods or unused portions of a subscription term.
Price Changes: We will provide at least 30 days' advance notice of any price changes. Continued use after the effective date of a price change constitutes acceptance.
8. Data Collection, Use & Privacy
We collect the following categories of data to operate and improve the Service:
- Account information (email, authentication data): Account management and security
- Chat history (questions and AI responses): Service delivery; internal AI quality review
- Geolocation (approximate location, if provided): Jurisdiction-relevant recommendations
- Feedback (ratings, comments): Response quality improvement
- Usage metadata (feature usage, session data): Plan enforcement; service analytics
- Technical data (IP address, device type, browser): Security, fraud prevention, optimization
AI Training and Model Improvement: By using the Service, you grant us a limited, worldwide, royalty-free license to use anonymized and de-identified conversation data to improve the underlying AI model's agricultural accuracy and performance. You may opt out in Account Settings → Privacy → AI Training Data.

9. Intellectual Property
All content, features, underlying models, software, algorithms, trademarks, and branding associated with the Service are owned by FarmAssist and its licensors. This Agreement does not transfer any intellectual property rights to you.
You retain ownership of any content you submit to the Service. By submitting content, you grant us a limited, non-exclusive, worldwide license to process, store, and use that content solely to deliver the Service, improve Service quality, and comply with legal obligations.
10. Third-Party Content and Services
The Service may display, reference, or link to third-party content, databases, or services. We do not endorse, control, or assume responsibility for any third-party content or services.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FARMASSIST.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:
- Crop damage, yield loss, crop failure, or livestock harm
- Financial losses, lost profits, or lost revenue
- Environmental damage, contamination, or remediation costs
- Personal injury, death, or property damage
- Regulatory fines, penalties, license suspensions, or enforcement actions
- Data loss, corruption, or unauthorized access
- Inaccurate, incomplete, or harmful AI-generated outputs
- Decisions made in reliance on AI-generated content
- Any direct, indirect, incidental, special, punitive, exemplary, or consequential damages
Aggregate Liability Cap: Our total aggregate liability shall not exceed the greater of: (a) the total fees paid by you in the twelve (12) months immediately preceding the claim, or (b) USD $100.
12. Indemnification
You agree to defend, indemnify, and hold harmless FarmAssist and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your use of or reliance on the Service, violation of this Agreement, or any harm resulting from your reliance on AI-generated content.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
14. Modifications to the Service and These Terms
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide at least 14 days' advance notice of material changes to these Terms via email or in-app notification.
15. Termination
By You: You may terminate this Agreement at any time by cancelling your subscription and deleting your account.
By Us: We may suspend or terminate your access at any time, with or without cause, with reasonable notice where practicable.
16. Export Controls and Compliance
The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export restrictions.
17. General Provisions
Governing Law: This Agreement is governed by the laws of the State of Wyoming without regard to conflict of law principles.
Dispute Resolution: Any dispute shall first be resolved through good-faith negotiation for 30 days, then binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association in San Diego, California.
Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND FARMASSIST AI LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Severability: If any provision is found to be invalid, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.
Entire Agreement: This Agreement, together with the Privacy Policy and any applicable plan-specific terms, constitutes the entire agreement between you and FarmAssist.
